Description

This session will help engineering practice owners understand what drives business value when considering a sale, succession, or ownership transition. Attendees will learn what buyers look for, common factors that reduce value, how to improve transferability, and practical steps to prepare before going to market. The session will provide an educational, confidential, and practical framework for maximizing value while protecting the legacy of a professional engineering practice. It offers insights for informed planning and continuity.

Learning Outcomes:

By the end of this session, participants will be able to:

  • Identify the key drivers of value in an engineering practice such as earnings quality, client concentration, team depth, systems, and transferability.
  • Recognize common issues that reduce practice value or make a sale more difficult.
  • Understand how different buyers evaluate engineering firms and what they look for during due diligence.
  • Assess their own exit readiness using a practical owner scorecard.
  • Outline steps they can take before going to market to improve value, reduce risk, and protect confidentiality.
  • Evaluate unsolicited buyer approaches more strategically before responding or negotiating.

Key Takeaways:

  • Value is built before the sale process begins. The best outcomes usually come from early preparation, not last-minute reaction.
  • Buyers pay for transferable future cash flow. A profitable firm may still be discounted if it depends too heavily on the owner.
  • Risk reduces value. Client concentration, weak documentation, unclear financials, staff dependency, and poor succession depth can all affect price and terms.
  • The right buyer matters. Internal successors, competitors, larger firms, and strategic buyers may value the same practice differently.
  • Deal structure is as important as price. Earnouts, vendor financing, transition periods, working capital, and indemnities can materially affect the real value of an offer.
  • Confidentiality must be managed carefully. A poorly handled sale process can unsettle staff, clients, and competitors.
  • Exit readiness creates options. Even if an owner is not ready to sell, preparing the practice increases flexibility for succession, retirement, partnership changes, or future buyer interest.

You may be eligible for 1 CPD hour.
